Terms of Service

These Terms of Service ("Terms") govern your use of Atlas Guild, operated by HTTA Holdings LLC ("Company," "we," "us"). By creating an account or using the platform, you agree to these Terms. If you do not agree, do not use the platform.

Atlas Guild is a multi-tenant platform that provides profession-specific business tools, community features, and resources ("Service") organized into individual communities called "guilds."

You must be at least 18 years old to use Atlas Guild. By creating an account, you represent that you are at least 18 and that the information you provide is accurate and complete. You are responsible for maintaining the accuracy of your account information.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@atlasguilds.com if you believe your account has been compromised.

You may not share your account or allow others to access the platform through your credentials. One account per person.

Monthly Subscriptions: Monthly subscriptions are billed on a recurring basis at the rate displayed at the time of purchase. You authorize us to charge your payment method each billing cycle until you cancel. Prices may change with 30 days' notice.

Annual Subscriptions: Annual subscriptions are billed as a single upfront payment covering 12 months of access. Annual rates are displayed at the time of purchase.

Founding Insider Subscriptions: Founding Insider subscriptions are annual subscriptions at a reduced rate that is locked for the lifetime of continuous membership. The Founding Insider rate applies only for as long as membership remains active and uninterrupted. If a Founding Insider cancels and later re-subscribes, the Founding Insider rate is forfeited and standard pricing applies.

Payment Processing: All payments are processed through Stripe. By subscribing, you agree to Stripe's terms of service. We do not store your credit card information — Stripe handles all payment data.

Failed Payments: If a payment fails, we will attempt to charge your payment method again as allowed by Stripe's retry schedule. We will notify you of the failure by email. If payment is not resolved within 14 days, your account may be suspended. If not resolved within 30 days, your account may be terminated.

Price Changes: We may change subscription prices with at least 30 days' notice. Price changes apply at your next billing cycle (monthly) or next renewal (annual). Founding Insider locked rates are not subject to price changes for the duration of continuous membership.

Refunds and cancellations are governed by our separate Refund Policy, which is incorporated into these Terms by reference.

Atlas Guild offers an affiliate program that allows members to earn commissions on referrals. Participation is subject to separate Affiliate Terms. Commission rates, payout schedules, and eligibility may change at any time with notice. We reserve the right to suspend or terminate affiliate participation for abuse, fraud, or misrepresentation.

Participants in the affiliate program must comply with all applicable laws, including FTC Endorsement Guides requiring clear and conspicuous disclosure of material connections when recommending Atlas Guild (e.g., "I may earn a commission if you join through my link").

Your Content: You retain ownership of any content you submit to Atlas Guild, including forum posts, resources, reviews, documents, images, and other materials ("User Content"). By submitting User Content, you grant HTTA Holdings LLC a non-exclusive, worldwide, royalty-free license to display, distribute, and store your content as part of operating the platform. You may remove your User Content at any time.

Content Standards: You agree not to submit content that is illegal, defamatory, threatening, harassing, discriminatory, sexually explicit, fraudulent, or that infringes on the intellectual property rights of others. You agree not to submit spam, advertisements, or solicitations not related to the guild community. We reserve the right to remove content that violates these standards.

Forum and Community: Guild forums are peer communities. Opinions expressed by members are their own and do not represent HTTA Holdings LLC. We do not endorse, verify, or guarantee the accuracy of member-posted content, recommendations, or advice.

Atlas Guild provides business tools including invoicing, scheduling, CRM, expense tracking, and related features. These tools are provided for your convenience. You are solely responsible for the accuracy of your financial records, tax filings, invoices, and business operations. Atlas Guild is not an accounting firm, law firm, or licensed financial advisor. The tools do not constitute financial, legal, or tax advice.

Atlas Guild includes an AI-powered concierge feature. The AI concierge is a tool, not a licensed professional. Its responses are generated by artificial intelligence and may contain errors, inaccuracies, or hallucinations. Responses are not warranted for accuracy, completeness, or fitness for any professional decision. They should not be treated as legal, financial, medical, tax, or clinical advice. You are solely responsible for verifying any information provided by the AI concierge before acting on it. HTTA Holdings LLC is not liable for decisions made based on AI concierge responses. Use of the AI concierge is at your own risk.

Atlas Guild may offer optional participation in research through the Applied Recognition Knowledgebase ("ARK"). Participation is opt-in only, governed by the Research Data section of our Privacy Policy, and never required for platform access. By opting in, you consent to anonymized structural analysis of text interactions as described in the Privacy Policy. You may opt out at any time.

If you use the client portal or worker portal features, you are the data controller for your clients' and workers' information. You are responsible for obtaining appropriate consent and complying with applicable privacy and employment laws. HTTA Holdings LLC processes this data on your behalf as a data processor.

We process this data solely as instructed by you to provide the Service, in accordance with applicable data processing standards. A Data Processing Addendum is available upon request for organizations with regulatory requirements.

The password vault uses client-side encryption (AES-GCM via Web Crypto API). Your master password never leaves your browser and is never transmitted to or stored by HTTA Holdings LLC. If you lose your master password, we cannot recover your stored credentials.

You agree not to: use the platform for any illegal purpose; attempt to access other users' accounts or data; reverse engineer the platform; use automated tools to scrape data; interfere with platform operations; resell access; use the platform to compete directly with Atlas Guild; or impersonate another person or entity.

The Atlas Guild platform, including its design, code, architecture, branding, and documentation, is the property of HTTA Holdings LLC. "Atlas Guild," guild names, and associated marks are trademarks of HTTA Holdings LLC.

Atlas Guild uses third-party services including Stripe, Supabase, Vercel, Resend, and Anthropic. Your use of Atlas Guild is also subject to the terms and privacy policies of these providers.

We strive to keep Atlas Guild available but do not guarantee uninterrupted access. We may modify, update, or discontinue features at any time with reasonable notice.

By You: You may cancel your subscription at any time.

By Us: We may suspend or terminate your account for Terms violations, abusive behavior, non-payment, or with 30 days' notice. You will have at least 14 days to export your data.

You have the right to export your data at any time. Upon account termination, you will have at least 14 days to export before deletion.

You may export your data at any time via the export feature in your account Settings. Exported data is provided in standard formats (JSON and CSV for structured data; original format for uploaded files). Export requests are processed within 30 days. Upon account termination, you will have at least 14 days to initiate an export before data is permanently deleted. We may update available export formats as the platform evolves.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HTTA HOLDINGS LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HTTA HOLDINGS LLC IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless HTTA Holdings LLC from any claims arising from your use of the platform, your User Content, or your violation of these Terms.

Disputes will be resolved through binding arbitration in the State of Michigan. You agree to resolve disputes individually and waive class action rights.

These Terms are governed by the laws of the State of Michigan.

We may update these Terms with at least 30 days' notice of material changes.
